General terms of purchase

GroosHandel, Max-Planck-Str. 13, 57074 Siegen, Germany – as of November 2026. The legally binding version is the German Allgemeine Einkaufsbedingungen.

1. Scope

  1. These terms apply to all contracts under which GroosHandel (“we”) purchases goods from manufacturers, brands and suppliers (“Supplier”). They apply only to businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law.
  2. Deviating or additional terms of the Supplier only become part of the contract if we expressly agree to them in text form. Individual agreements in the respective purchase order take precedence.

2. Offer, purchase order and conclusion of contract

  1. The Supplier’s offers and price lists are free of charge and non-binding for us.
  2. A contract is concluded by our purchase order in text form and its confirmation by the Supplier. If the Supplier does not confirm within five business days, we are no longer bound by the order.

3. Prices and payment

  1. The prices stated in the purchase order are fixed prices in euros plus statutory VAT.
  2. Payment terms and delivery costs are set out in the respective purchase order. As a rule, we pay immediately and without payment terms.
  3. Invoices must state our purchase order number and the items with EAN and quantity.

4. Delivery and transfer of risk

  1. Goods are delivered to the warehouse stated in the purchase order. Agreed delivery dates are binding; the Supplier informs us without delay if a delay becomes apparent.
  2. Each delivery includes a delivery note stating the purchase order number, items, EAN and quantity.
  3. Risk passes to us upon handover of the goods at our warehouse.

5. Product requirements and compliance

  1. The goods comply with the regulations applicable in the European Union, in particular on product safety (GPSR), CE marking, RoHS, REACH, electrical and electronic equipment, batteries and packaging – unless the purchase order states that we take on individual obligations.
  2. On request, the Supplier provides declarations of conformity, test reports, safety information and user manuals.

6. Inspection and notification of defects

For the commercial duty to inspect and give notice of defects (Section 377 German Commercial Code, HGB): we notify obvious defects within ten business days of receipt of the goods, and hidden defects within ten business days of their discovery.

7. Claims for defects

In the event of defects, we are entitled to the statutory rights. The limitation period for claims for defects is 24 months from the transfer of risk, unless the law provides for a longer period.

8. Product liability and recalls

If third parties hold us liable for a product defect, the Supplier indemnifies us against these claims insofar as the cause lies within its sphere of control and organisation. This includes the necessary costs of a recall.

9. Trademarks, images and product texts

  1. The Supplier warrants that the goods and any images, texts and trademarks provided do not infringe third-party rights.
  2. The Supplier permits us to use its trademarks, product images and product texts to sell and advertise the purchased goods on online marketplaces and in our own channels, and to translate and adapt them for the respective channels.

10. Confidentiality

Both parties treat the other party’s prices, conditions and non-public business information confidentially.

11. Final provisions

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
  2. Place of jurisdiction is Siegen, Germany, to the extent permitted by law.
  3. Should any provision be invalid, the validity of the remaining provisions remains unaffected.
